INTRODUCTION, ARBITRATION NOTICE & CLASS ACTION WAIVER

Welcome to Primington Magazine (the “Service”). This User Agreement (“Agreement”) explains the terms that apply when you access, browse, register for, purchase from, or otherwise use the Service, including any related pages, features, newsletters, community areas, comments, and the Shop (collectively, the “Service”).

EXCEPT FOR CERTAIN DISPUTES DESCRIBED BELOW, YOU AND PRIMINGTON AGREE THAT DISPUTES WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION—AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Please read the “ARBITRATION, WAIVER OF CLASS ACTION SUITS, AND DISPUTE RESOLUTION” section carefully.


MONITORING AND COMPLAINTS AGAINST OTHER USERS

MONITORING

We may (but do not have to) monitor activity and user content on the Service to maintain safety, enforce these Terms, and improve the user experience. We do not guarantee we will review or act on any specific content or complaint. You may encounter content that is inaccurate, offensive, or inappropriate.

WHAT TO DO IF YOU HAVE A COMPLAINT AGAINST ANOTHER USER

No misuse of reporting. False, malicious, or knowingly inaccurate reports may result in suspension or termination of your access.


REGISTRATION AND ACCOUNT/PROFILE CREATION

REGISTRATION INFORMATION

Some areas of the Service may require you to register or provide information (e.g., name, email, shipping address, payment details). You agree that information you provide is accurate, current, and complete, and you will update it promptly if it changes.

You may not impersonate another person, misrepresent affiliation, or use information you do not have permission to use.

ACCOUNT SECURITY

You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us immediately if you suspect unauthorized access.

FEES AND PAYMENT

Certain features, subscriptions, digital products, or physical products may require payment. Prices are shown in U.S. dollars unless stated otherwise. Taxes and shipping (if applicable) will be added at checkout.

Unless a specific refund policy is provided for a product, all sales are final to the extent permitted by law. We may refuse or cancel orders for any reason, including suspected fraud, payment issues, or product availability.

RULES OF USAGE

USE OF THE SERVICE BY YOU

You agree to use the Service lawfully and respectfully. The Service is intended for users who are 13 years or older. If you are under 18, you may use the Service only with a parent/guardian’s consent.

You are responsible for your equipment, internet access, and any carrier/data charges.

PROHIBITIONS ON USE OF THE SERVICE

  7. Use the Service or its content to train, fine-tune, or “ground” any AI/ML model (including via scraping, dataset creation, or retrieval-augmented generation) without our written permission.
  8. Post content that infringes intellectual property rights or privacy rights.
  9. Promote spam, pyramid schemes, phishing, or deceptive offers.
  10. Repost the same content repeatedly to manipulate visibility.

We may suspend or terminate access for violations.


CONTENT AND FEATURES; COPYRIGHT COMPLAINTS

COMMENTS ON THE SERVICE ARE NOT NECESSARILY ENDORSED BY US

User posts, comments, and submissions reflect the views of the individual users—not necessarily Primington’s views. We are not responsible for user-generated content.

USE OF CONTENT SUPPLIED BY YOU

If you submit content to us (e.g., comments, messages, photos, submissions, reviews, event responses), you retain ownership of your content but you grant Primington a license to use it.

License you grant to Primington. By submitting content, you grant us a non-exclusive, worldwide, royalty-free, transferable license to host, store, reproduce, publish, display, adapt (for formatting), and distribute your content in connection with operating, marketing, and improving the Service (including across our social channels, newsletters, and promotional materials). You represent you have the rights to grant this license.

No confidential submissions. Do not submit ideas, pitches, or creative concepts you consider confidential unless we have a written agreement covering it. We may develop similar ideas independently.

EDITING, ADDITIONS, AND DELETIONS

We may edit, remove, or refuse content or features at any time, with or without notice, to maintain quality, safety, and compliance.

COPYRIGHT COMPLAINTS

We respect intellectual property rights. If you believe material on the Service infringes your copyright, send a notice including:

  1. Your name and contact info (email, address, phone).
  2. Identification of the copyrighted work.
  3. The specific URL(s) where the allegedly infringing material appears.
  4. A statement you have a good-faith belief the use is not authorized.
  5. A statement, under penalty of perjury, that your notice is accurate and you are the owner or authorized agent.

PRODUCTS MADE AVAILABLE BY US

WE RECEIVE COMPENSATION

Primington Magazine may earn revenue through: affiliate links, sponsored content, brand partnerships, ads, and commissions from purchases made through links. We aim to disclose sponsorships when required or appropriate.

PRODUCT ORDERS, PRICES, QUANTITIES

Product availability and pricing can change without notice. We may limit quantities, refuse orders, or cancel orders (including for suspected fraud or pricing errors). Product images are representative and may not reflect exact colors or details.


LIMITATIONS OF LIABILITY

To the maximum extent permitted by law, Primington and its owners, employees, contractors, and partners will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, data loss, or reputational harm, arising from or related to your use of (or inability to use) the Service or any products.

If we are found liable for any claim, our total liability will not exceed the amount you paid us (if any) in the 30 daysbefore the event giving rise to the claim (or $100 if you paid nothing), unless applicable law requires otherwise.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

THIRD PARTY PROVIDERS

The Service may link to or integrate with third-party services (payment processors, analytics, ad networks, embedded social content, etc.). We are not responsible for third-party services, policies, or actions. Your use of third-party services may be subject to their terms.

You agree to comply with all applicable laws and regulations.


ARBITRATION, WAIVER OF CLASS ACTION SUITS, AND DISPUTE RESOLUTION

Informal Dispute Resolution First

If we can’t resolve it within 60 days, either party may proceed to arbitration as described below.

Agreement to Arbitrate

Except for Excluded Claims (below), any dispute or claim related to the Service or these Terms will be resolved by binding, individual arbitration, not in court.

Arbitration Provider and Rules

Arbitration will be administered by [AAA/JAMS — choose one with counsel] under its applicable consumer arbitration rules.

Location and Format

Unless otherwise required by law, arbitration will occur by video/phone or written submissions. If an in-person hearing is required, it will take place in [Oakland County, Michigan] or another mutually agreed location.

Excluded Claims

The following are not subject to arbitration:

  1. Small claims court matters within that court’s jurisdiction
  2. Claims related to intellectual property rights (copyright, trademarks)
  3. Requests for injunctive relief for unlawful access, hacking, or security issues (as permitted by law)

Class Action Waiver

You and Primington agree that disputes will be brought only in an individual capacity. No class actions, class arbitrations, private attorney general actions, or consolidated proceedings are permitted.

Opt-Out Right

You may opt out of arbitration and the class action waiver by sending written notice within 30 days of first using the Service, purchasing, or registering. Send to:

GENERAL

  • Entire Agreement: These Terms, along with our Privacy Policy and posted rules, form the entire agreement between you and Primington regarding the Service.
  • Severability: If any part is found unenforceable, the rest remains in effect.
  • No waiver: If we don’t enforce a provision, that does not waive our right to enforce it later.
  • Assignment: We may assign these Terms; you may not assign them without our written consent.

“Content”: All text, images, video, audio, design, articles, and other materials on the Service (including user submissions).
“Device”: Any device used to access the Service.
